By accessing or using AutoLedger ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
AutoLedger is a cloud-based dealership management platform that enables independent automotive dealers to manage vehicle inventory, track sales, monitor expenses, and automate document processing. We reserve the right to modify or discontinue the Service at any time, with or without notice.
3. Accounts & Registration
You must register for an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for:
- Maintaining the confidentiality of your account credentials.
- All activity that occurs under your account.
- Notifying us immediately of any unauthorized use of your account.
You may not share your account with others or create multiple accounts for the same organisation, unless expressly permitted.
4. Subscription & Billing
AutoLedger is offered on a subscription basis. By subscribing, you agree to pay the applicable fees as set out on our pricing page. All fees are:
- Billed monthly or annually in advance.
- Non-refundable except as required by applicable law.
- Subject to change with 30 days' notice.
Your subscription will renew automatically unless you cancel before the renewal date. A free trial may be offered; once the trial ends, continued use requires a paid subscription.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation.
- Upload or transmit malware, viruses, or any harmful code.
- Attempt to gain unauthorised access to any part of the Service or its infrastructure.
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Use the Service to process or store unlawfully obtained data.
6. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of AutoLedger and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
7. Your Data
You retain all ownership rights to the data you upload or create within the Service ("Customer Data"). By using the Service, you grant us a limited licence to process, store, and display your Customer Data solely to provide and improve the Service. We will not sell your Customer Data to third parties. 8. Limitation of Liability
To the maximum extent permitted by law, AutoLedger and its directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service. Our total aggregate liability shall not exceed the amount you paid to us in the twelve months prior to the claim.
9. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive, including ownership, warranty disclaimers, and limitations of liability.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ireland.
11. Changes to Terms
We reserve the right to update these Terms at any time. We will notify you of material changes by updating the "Last updated" date at the top of this page and, where appropriate, by sending a notification to your registered email address. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
